General Terms and Conditions of Sale

1.Purpose
These General Terms and Conditions of Sale (the "Terms") govern the contractual relationship between TERUEL LLC, a company incorporated under the laws of the State of Montana, with its registered office at 1001 S Main St, Ste 700, Kalispell, MT 59901, USA, represented by its Sole Member Matthias Teruel (the "Provider"), and any individual or legal entity (the "Client") purchasing its digital marketing services, in particular the management of Meta Ads and TikTok Ads campaigns.
2.Services offered
The Provider offers consulting, ad creative production, paid acquisition campaign management (Meta Ads, TikTok Ads), tracking implementation and conversion funnel optimization. The precise scope of services is defined in a quote or commercial proposal signed by the Client.
3.Orders and formation of the contract
The contract is formed upon the Client's express acceptance of the quote (signature, electronic validation, or payment of the deposit). Any order implies unreserved acceptance of these Terms.
4.Fees and payment terms
Fees are stated in US dollars or euros, excluding applicable taxes. Unless otherwise agreed, a 50% deposit is payable on order, with the balance due at delivery at the latest. For recurring services (monthly management), invoicing takes place at the beginning of each period. Late payment triggers, without prior formal notice, interest at the applicable statutory rate, plus a fixed recovery fee of USD 40.
5.Media budget
Budgets spent on advertising platforms (Meta, TikTok) are borne exclusively by the Client and billed directly by those platforms through the Client's own payment methods. The Provider's fees are separate from the media budget.
6.Provider obligations
The Provider undertakes to deliver its services professionally and in accordance with industry standards. This is a best-efforts obligation: no specific result (ROAS, CPA, sales volume) can be guaranteed, as campaign performance depends on multiple factors (offer, creatives, market, platform, seasonality).
7.Client obligations
The Client undertakes to provide all elements required for the performance of the services (advertising account access, assets, product information) within reasonable timeframes. The Client warrants that it holds all rights to the content provided and that its products or services comply with applicable laws and advertising platform policies.
8.Duration and termination
One-off services end upon delivery. Recurring services are entered into for an initial term set out in the quote and renew automatically for successive periods. Either party may terminate by written notice with 30 days' notice. In the event of a serious breach, termination may take immediate effect.
9.Intellectual property
Deliverables created by the Provider (creatives, copy, strategies) remain its property until payment in full. Once payment is made, the Client holds a non-exclusive right of use for its own purposes.
10.Confidentiality
Each party undertakes to keep confidential all information exchanged in the course of the collaboration.
11.Liability
The Provider's liability is limited to the amount of fees actually received for the relevant service over the last three (3) months. The Provider cannot be held liable for decisions made by advertising platforms (account suspension, ad rejection) nor for indirect losses (loss of revenue, loss of profit).
12.Force majeure
Neither party may be held liable for a failure resulting from an event of force majeure as defined by applicable case law.
13.Personal data
Personal data collected is processed in accordance with the privacy policy and, for clients residing in the European Union, with the GDPR.
14.Governing law and jurisdiction
These Terms are governed by the laws of the State of Montana (USA). Any dispute regarding their interpretation or performance shall, failing amicable resolution, be submitted to the competent courts of Kalispell, Montana. For consumer clients residing in the European Union, the mandatory provisions of their national law remain applicable.
